Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the RetailFlow POS web application (the “Service”). The Service is operated by the Provider identified in the Master Subscription Agreement (MSA-2026-v1), which all subscribers accept at sign-up. These Terms are supplementary to the Master Subscription Agreement. In the event of any conflict between these Terms and the Master Subscription Agreement, the Master Subscription Agreement shall prevail. These Terms do not create any obligation to voluntarily share user data with any government authority beyond what is strictly required by a valid court order as described in our Privacy Policy.

1. The Service

RetailFlow POS is a cloud-based point-of-sale and inventory management system designed for small retail stores. The Service allows you to record sales, manage inventory, track receivables, and synchronise data across devices.

2. Account Registration

To use the Service, you must register for an account. You agree to:

Subscription fees are non-refundable except as required by applicable law. We reserve the right to change pricing with at least 30 days' advance notice.

The Service is a record-keeping tool. We do not monitor, audit, or verify the accuracy of the business data you enter. You are solely responsible for ensuring your use of the Service complies with your own legal obligations, including tax and business registration requirements applicable to your store.

We are not responsible for, and cannot be held liable for, any regulatory, tax, or legal obligations of your business. Using this Service does not constitute business registration, tax filing, or compliance with any government requirement.

5. Your Data and Our Limited Access

You retain full and exclusive ownership of the business data you enter into the Service ("Store Data"). You grant us a strictly limited, non-exclusive licence to store and process your Store Data solely and exclusively for the purpose of providing the Service to you.

We will not sell, share, rent, or disclose your Store Data to any third party for commercial, marketing, or surveillance purposes. We access your Store Data only when technically required to operate the Service (e.g., database backups, debugging a reported error you asked us to investigate).

We do not proactively monitor, analyse, or report on the content of your Store Data to any government agency, trade regulator, or law enforcement body. Any government or law enforcement request for your Store Data will be handled strictly in accordance with the Law Enforcement Requests section of our Privacy Policy — requiring a valid court order, notifying you where permitted, and disclosing the minimum data required.

Upon account deletion or subscription lapse, your Store Data will be permanently and irreversibly deleted within 30 days.

6. Service Availability

We aim for high availability but do not guarantee uninterrupted access. The Service is provided "as is" without warranty of any kind. We are not liable for downtime caused by third-party infrastructure providers, scheduled maintenance, or circumstances beyond our reasonable control.

The Service includes an offline mode (IndexedDB/PWA) that allows continued use without an internet connection. Data syncs automatically when connectivity is restored.

7. Intellectual Property

All software, design, text, and graphics comprising the Service are owned by RetailFlow POS or its licensors and are protected by intellectual property laws. Nothing in these Terms grants you ownership of any part of the Service.

8. Termination

You may cancel your subscription at any time by emailing us. Cancellation takes effect at the end of your current paid billing period.

We may suspend or terminate your account only if: (a) your subscription payment lapses and is not renewed within a 7-day grace period; or (b) you have materially violated Section 4 (Acceptable Use) and we have given you written notice with a reasonable opportunity to remedy the violation. We will not terminate accounts arbitrarily or under pressure from third parties without a valid court order requiring us to do so.

We will never terminate or suspend your account solely because a government body or third party requests it without a valid court order. If we receive such a request, we will notify you where legally permitted.

Upon termination, your Store Data will be scheduled for permanent deletion within 30 days as described in Section 5.

9. Limitation of Liability

To the maximum extent permitted by applicable law, RetailFlow POS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising out of or relating to your use of the Service.

Our total aggregate liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the total subscription fees you paid us in the 12 months immediately preceding the claim.

We are not liable for: (a) the accuracy, legality, or completeness of any business records you create using the Service; (b) any regulatory penalty, tax assessment, or fine imposed on your business; or (c) any consequence arising from a government demand made directly to you as a business owner independent of the Service.

10. No Warranty on Regulatory Compliance

The Service is a general-purpose inventory and sales recording tool. It is not a certified accounting system, official tax register, or government-approved bookkeeping solution. We make no warranty that using the Service satisfies any specific legal, tax, or regulatory requirement applicable to your business. You are responsible for maintaining any legally required records in whatever format your applicable laws require, independently of this Service.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of the Philippines, specifically including the Electronic Commerce Act (RA 8792) and the Data Privacy Act (RA 10173).

Disputes are governed by the dispute resolution, venue, and governing law provisions of the Master Subscription Agreement (Sections 12.1–12.5), which provide for good-faith negotiation, exclusive venue in the proper courts as specified in the MSA, and the right of Provider to seek provisional remedies. These Terms do not waive any right you have under Philippine consumer protection law (RA 7394) or the Data Privacy Act (RA 10173).

12. Changes to These Terms

We may modify these Terms at any time. We will notify registered users by email at least 14 days before material changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
